1. About Us & Acceptance of Terms
1.1 Who We Are
These Terms of Use ("Terms") govern your access to and use of the Wenya application and related services (the "App") provided by Wenya Labs Pte Ltd, a company incorporated in Singapore (Company Registration No. 202525666N), with its registered address at 50 Chin Swee Road, #08-02, Singapore 169874 ("Wenya", "we", "us", or "our").

1.2 Acceptance
By downloading, installing, registering for, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Notice. If you do not agree, you must not use the App.
1.3 Eligibility
You may use the App only if you:
Are aged 16 years or older (or the applicable age of digital consent in your jurisdiction, whichever is higher);
Are a member of a participating community (e.g. Hey Famm) or have been invited via a valid referral link;
Have accepted these Terms; and
Are not prohibited from using the App under applicable law in your country of residence.
ℹ Note: For US users: if you are between 13 and 16, you must have verifiable parental consent in accordance with COPPA. The App is not directed at children under 13. See Section 15 for our children's policy.
2. The Beta Programme
2.1 What is the Beta?
The Beta is a pre-commercial testing programme during which Wenya makes its AI-powered scheduling keyboard and agent application available to a limited group of users for testing, feedback, and product development purposes.
2.2 Beta Period
The Beta Period runs from May 2025 to July 2025. We reserve the right to extend, shorten, or terminate the Beta Period at any time, with or without notice.
2.3 Geographic Availability
The Beta is available globally, with initial target communities in Singapore, the United Kingdom, and the United States. Users accessing the App from other jurisdictions do so at their own risk and are responsible for compliance with local laws.
2.4 Access Tiers
During the Beta Period, the following access structure applies:
Trial
7-day free trial with access to all Pro features.
After 7 days, users choose: continue on Basic (free) or upgrade to paid Pro.
Basic Tier (Free)
Unlimited meeting proposals and timezone conversion.
1:1 scheduling threads. Limited slot proposals (2)
Up to 5 confirmed meetings per calendar month.
1 calendar sync and 1 connected video conferencing provider.
Pro Tier (Paid)
Unlimited proposal and unlimited confirmed meetings.
Multiple calendar syncs.
Advanced availability engine with travel-aware timezone detection.
Multiple video conferencing integrations.
Custom duration .
Location privacy customisation
Feature availability may change during the Beta Period. We will endeavour to give reasonable advance notice of material changes.
3. Beta Nature of the Service
3.1 No Warranty
THE APP IS PROVIDED DURING THE BETA PERIOD ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE APP IS IN TESTING AND MAY CONTAIN BUGS, ERRORS, AND INCOMPLETE FUNCTIONALITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY.
3.2 Service Availability
We do not guarantee uninterrupted or error-free access to the App during the Beta Period. We may suspend, limit, or discontinue the App (in whole or in part) at any time for maintenance, testing, security, or any other reason.
3.3 Data Integrity
You acknowledge that data (including scheduling data, AI preferences, and settings) may be lost, corrupted, or reset during the Beta Period. You should not rely solely on the App for critical scheduling arrangements. We strongly recommend maintaining independent records of important meetings.
3.4 Consumer Rights (UK & EU)
If you are a consumer in the United Kingdom or European Union, nothing in these Terms affects your statutory consumer rights under the Consumer Rights Act 2015 (UK) or equivalent applicable legislation.
4. Your Account & Responsibilities
4.1 Account Registration
To participate in the Beta, you must create an account by providing your full name, email address, and phone number. Business users must also provide their business name. You warrant that all information provided is accurate, current, and complete, and you agree to keep it updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@wenyawanna.ai if you suspect any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
4.3 Acceptable Use
You agree not to use the App to:
Violate any applicable law, regulation, or third-party rights;
Infringe any intellectual property rights;
Transmit any harmful, offensive, defamatory, unlawful, or spam content;
Attempt to gain unauthorised access to our systems or any third-party systems;
Interfere with or disrupt the App, its infrastructure, or servers;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
Use automated tools, bots, or scripts to scrape or extract data from the App;
Circumvent any feature limitations, paywalls, or access controls;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Use the App for any commercial purpose other than your own scheduling needs without our prior written consent; or
Engage in any conduct that could damage, disable, or impair the App or our reputation.
4.4 Business Users
If you are accessing the App on behalf of a business or organisation, you represent and warrant that you have authority to bind that business or organisation to these Terms, and these Terms apply to both you and the business or organisation.
5. Feedback
By participating in the Beta, you agree to provide honest and constructive feedback when requested. You grant Wenya a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, incorporate, modify, and exploit any feedback, suggestions, ideas, or reports you provide in connection with the development and improvement of the App and related products, without any obligation of compensation or attribution to you. This licence survives termination of these Terms.
You retain ownership of any content you submit as feedback, but acknowledge that Wenya may act on or implement feedback without restriction.
6. Calendar & Third-Party Integrations
6.1 Calendar Access
The App integrates with third-party calendar providers (including Google Calendar and Microsoft Outlook/Calendar) and video conferencing platforms (including Zoom, Google Meet, and Microsoft Teams). By connecting these services, you authorise Wenya to access and interact with your calendar data in accordance with our Privacy Notice.
6.2 Privacy-First Approach
Wenya does not store your calendar contents on our servers. Calendar data is accessed in real time to provide scheduling functionality and is not retained beyond the immediate session, except as explicitly described in our Privacy Notice.
6.3 Third-Party Terms
Your use of third-party integrations (Google, Microsoft, Zoom, and others) remains subject to those providers' own terms of service and privacy policies. Wenya is not responsible for the availability, functionality, accuracy, or data practices of third-party platforms. You should review the terms and privacy policies of any third-party service you connect.
6.4 Revocation of Access
You may revoke Wenya's access to your third-party accounts at any time through your account settings or directly through the third-party provider's settings. Revocation will not affect any data already processed prior to revocation.
7. Payments & Subscriptions
7.1 Free Beta Access
Community users with valid promotional codes access Pro features at no charge during the Beta Period, as specified in the promotional offer.
7.2 Paid Pro Subscription
Users on a paid Pro subscription will be charged via Apple subscriptions in USD according to the pricing presented at the time of sign-up. Monthly pricing for pro account is $12. All prices are in USD unless otherwise stated at the point of purchase. Payment cycles will be monthly, date determined on sign up.
7.3 Free Trial Conversion
At the end of any free trial period, your account will automatically continue on the Basic (free) tier unless you have provided payment details and expressly selected a paid Pro subscription. We will notify you before any trial ends.
7.4 Billing & Charges
Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All charges are non-refundable except as required by applicable law or as expressly stated herein.
7.5 Cancellation
You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You will retain Pro access until the end of the paid period.
7.6 Downgrade & Fallback
If your Pro subscription lapses or is cancelled:
Existing confirmed meetings already added to your calendar will remain unaffected;
You must select a primary calendar if multiple are synced; additional calendars will be disconnected;
You will be limited to 5 confirmed meetings per calendar month going forward;
Downgrade takes effect at the end of your current billing cycle.
7.7 Refunds
Requests should be directed to info@wenyawanna.ai. We will review all refund requests on a case-by-case basis.
7.8 California Users — Automatic Renewal Disclosure
If you are a California resident, by subscribing to a paid plan, you acknowledge and agree that: (a) your subscription will automatically renew at the end of each billing period unless you cancel; (b) the charge will be the subscription price in effect at the time of renewal; (c) you may cancel at any time before the renewal date. We will send you a reminder before each renewal. You may cancel via your account settings or by contacting info@wenyawanna.ai.
8. Intellectual Property
All rights, title, and interest in and to the App, including all software, content, branding (including the Wenya name, logo, and trademarks — trademark application pending), and technology, are owned by or licensed to Wenya Labs Pte Ltd. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the App solely for your personal or internal business scheduling purposes during the Beta Period, in accordance with these Terms.
This licence does not include any right to:
Sublicense, resell, or distribute the App;
Reproduce, copy, or create derivative works from the App;
Use Wenya's branding, trademarks, or logos without prior written consent; or
Access the App's underlying source code or infrastructure.
Any unauthorised use of the App or Wenya's intellectual property may result in termination of your access and may expose you to legal liability.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
WENYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REPUTATION, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE BETA OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
WENYA'S TOTAL AGGREGATE LIABILITY TO YOU IN RESPECT OF THE BETA (WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) SHALL NOT EXCEED USD 100 (OR THE EQUIVALENT IN YOUR LOCAL CURRENCY);
WENYA IS NOT LIABLE FOR ANY FAILURE OR DELAY IN PERFORMANCE DUE TO CAUSES BEYOND OUR REASONABLE CONTROL, INCLUDING INTERNET OUTAGES, THIRD-PARTY SERVICE FAILURES, OR FORCE MAJEURE EVENTS.
ℹ Note: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
If you are a consumer in the United Kingdom, your statutory consumer rights under the Consumer Rights Act 2015 are not affected. If you are a consumer in the European Union, applicable mandatory consumer protection laws apply.
CALIFORNIA USERS: To the extent California law applies and requires, these limitations may not apply to you in full. Nothing in these Terms waives rights you have under California law.
10. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Wenya, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
Your use of the App in violation of these Terms;
Your violation of any applicable law or third-party rights;
Any content or data you submit through the App; or
Any dispute between you and a third party in connection with the App.
We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your expense.
11. Termination
We may terminate or suspend your access to the Beta at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. You may stop using the App at any time and may request account deletion by contacting info@wenyawanna.ai.
On termination:
Your licence to use the App ceases immediately;
We may delete your account and associated data in accordance with our Privacy Notice;
The following provisions survive termination: Sections 5 (Feedback), 8 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and this Section 11.
12. Governing Law & Dispute Resolution
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
12.2 Dispute Resolution — General
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Singapore.
12.3 UK Users
If you are a consumer resident in the United Kingdom, you retain the right to bring proceedings in the courts of England and Wales, Scotland, or Northern Ireland (as applicable). UK mandatory consumer protection laws apply to the extent required.
12.4 US Users — Arbitration & Class Action Waiver
IF YOU ARE A US RESIDENT, YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP WILL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN IN COURT. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Arbitration shall be conducted by AAA under its applicable rules. The arbitration shall take place in Texas, if you prefer, via videoconference. Nothing in this section prevents you from bringing an individual claim in small claims court or seeking injunctive relief.
12.5 California Users
California residents may also contact the California Department of Consumer Affairs (dca.ca.gov) or the California Attorney General's office for dispute assistance. Notwithstanding the arbitration clause above, nothing in these Terms waives your rights under the California Consumer Privacy Act (CCPA) or other California-specific consumer statutes.
12.6 Singapore Users — PDPA Complaints
Singapore residents may lodge a complaint about personal data handling with the Personal Data Protection Commission (PDPC) at pdpc.gov.sg.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or product features. We will notify you of material changes by email and/or in-app notification at least 14 days before the change takes effect (or such shorter period as required by applicable law). Continued use of the App following the effective date of any changes constitutes acceptance of the revised Terms.
If you do not agree to material changes, you may terminate your account by contacting info@wenyawanna.ai before the changes take effect.
14. Children's Policy
The App is not directed at children under the age of 16, or under 13 in the United States. We do not knowingly collect personal information from children under these ages.
US-Specific (COPPA): If you are a parent or guardian and believe your child under 13 has used the App or provided personal information, please contact us immediately at info@wenyawanna.ai. We will delete any such data as promptly as possible and in accordance with the Children's Online Privacy Protection Act (COPPA) and FTC guidance.
California Minor Users: If you are a California resident under 18 and have posted content or information on the App, you may request removal by contacting info@wenyawanna.ai, in accordance with California Business & Professions Code Section 22581.
15. General
15.1 Entire Agreement
These Terms (together with the Privacy Notice) constitute the entire agreement between you and Wenya regarding the Beta and supersede all prior agreements, representations, or understandings relating to the same subject matter.
15.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
15.3 Waiver
Failure or delay by Wenya to enforce any provision of these Terms does not constitute a waiver of that right or any other right.
15.4 Assignment
You may not assign, transfer, or sublicence your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
15.5 Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or third-party service disruptions.
15.6 Language
These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail to the extent permitted by applicable law.
15.7 Notices
We may provide notices to you by email (to the address registered on your account), in-app notification, or by posting on our website. Notices to Wenya should be sent to info@wenyawanna.ai.
15.8 No Partnership
Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Wenya.
